Sažetak
Polazeći od uravnoteženosti interesa obe ugovorne strane kao zajedničkog obeležja prodaje po uzorku i prodaje po specifikaciji, autor daje analitički osvrt na strukturu ovih ugovora i njihova dejstva kao na dva elementa na kojima se zasniva razgraničenje između ova dva modaliteta kupoprodaje. Struktura ugovora kao element za razgraničenje prodaje po uzorku i prodaje po specifikaciji manifestuje se kroz specifičnosti svakog od ovih modaliteta, kao što su predmet prodaje, utvrđivanje kvaliteta stvari koja je predmet ugovora i način predaje uzorka i specifikacije od strane kupca prodavcu. - Što se tiče dejstva ovih ugovora, ono se izražava kroz prava i obaveze ugovornih strana, koja pokazuju razlike između ovih ugovora, pa su i oni ovde predmet analitičkog osvrta.
Abstract
Starting from it balance or interests of both of the contracting parties as a common characteristic of both the sale by sample and sale by specification, the author gives an analytical review or the structure of those contracts and their effects, as the two elements that are the basis of delimitation of these two modes of the sales contract. The first part of the article the author devotes to a detailed analysis of the structure of sale by sample and sale by specification. Special attention has been paid to characteristics of these contracts specific to their structure, such as the object, determination of quality of the object of the contract, as well as the handing over of the sample or specification by the buyer to the seller. Within the second part of the paper the author analyses the effects of the sale by sample and by specification, and, regarding this, the rights and duties of the contracting parties whereby the effect of this modes of sale is manifested. Special attention has been paid to the question of determining the conformity of the goods to the sample and specification as a necessary precondition for the performance of the contract in case the buyer delayed the handing of specification. By consulting the solutions of comparative and Yugoslav law regarding this matter, the author concludes that the specific characteristics of sale by sample and sale by specification are sufficient to differentiate these two contracts as two different instruments for regulation of the relations between the seller and the byer in performance of these contracts in commercial circulation.
