Korporativno upravljanje - geneza, modeli i problemi

Sažetak
Korporativno upravljanje se odnosi na način organizovanja kompanije i sadrži zakone, pravila i principe na kojima se organizacija bazira i vodi. Korporativno upravljanje ima kratku istoriju. Modeli korporativnog upravljanja su se razvili iz različitog kulturnog, istorijskog i pravnog okruženja, gde korporacije vode svoje poslovanje. Postoje dva osnovna tipa korporativnog upravljanja u razvijenim zemljama: jednomodni sistem., koji je nastao u Ujedinjenom Kraljevstvu i Sjedinjenim Američkim Državama i dvomodni sistem, koji se razvio u Nemačkoj i Japanu. Sa druge strane, zemlje u tranziciji su počele razvoj korporativnog upravljanja pod veoma različitim uslovima zbog socijalstičko-orjentisanog tržišta i javnog vlasništva. Investicije su glavni preduslov za rast. Najvažnije investicije su tzv. greenfield investicije, kada strani investitor investira svoj novac u drugu državu započinjući novi posao. Poslednja, ali ne najmanje važna stvar, je agencijski problem, koji se pojavljuje kada menadžment vodi korporaciju u cilju maksimiziranja sopstvenih interesa, dok vlasništvo akcionara depresira. Ovaj rad opisuje genezu koprorativnog upravljanja, njegove modele u razvijenim zemljama, stanje korporativnog upravljanja u zemljama u tranziciji i načine za kontrolu menadžmenta i rešavanja agencijskog problema.
