Sažetak
U ovom radu će biti ukazano na značaj i potrebu donošenja smernica za ocenu horizontalnih koncentracija učesnika na tržištu u Republici Srbiji. Smernice bi predstavljale pokušaj da se približi i pojasni praksa Komisije za zaštitu konkurencije u oblasti kontrole koncentracija. Potreba je čak i veća ako se ima u vidu da aktuelni propisi ne prave razliku između horizontalnih i nehorizontalnih koncentracija, čime se mogu stvoriti nedoumice kod učesnika na tržištu povodom postupaka i analiza koje Komisija sprovodi. Nedostatak testa pretpostavljenog monopoliste pri definisanju relevantnog tržišta, kao i tzv. kriterijuma "sigurne luke" (safe harbour) pri oceni efekata horizontalnih koncentracija, nerazlikovanje unilateralnih i koordiniranih efekata, i nedovoljna određenost kriterijuma za ocenu koncentracija, neki su od razloga da se razmotri neophodnost donošenja smernica. Smernice bi podigle pravnu izvesnost u ovoj oblasti, čineći postupak koji Komisija sprovodi transparentnijim svim zainteresovanim stranama. Analizom postojećih propisa, iskustava i ograničenja u njihovoj primeni, te pregledom rešenja najbolje uporedne prakse, biće učinjen pokušaj da se formiraju principi za donošenje nedostajućih smernica. Na osnovu iskustava najrazvijenijih praksi iz ove oblasti, ispostavlja se da je partnerstvo Komisije i akademske zajednice bitna karika u ovom procesu.
Abstract
This paper will point out the importance and need for making guidelines for the assessment of horizontal concentrations of undertakings in the Republic of Serbia. The guidelines would be an attempt to bring closer and explain the practice of the Commission for Protection of Competition in the field of concentration control. The need is even more significant if one takes into account that the current regulations do not make a distinction between horizontal and non-horizontal concentrations, which may create confusion with undertakings on the procedures and analyses conducted by the Commission. Lack of the hypothetical monopolist test in the relevant market definition, as well as the "safe harbour" criteria for assessing the effects of horizontal concentrations, non-differentiation of unilateral and coordinated effects, and insufficient determination of the criteria for assessing the concentrations, are some of the reasons to consider the necessity of guidelines adoption. The guidelines would raise legal certainty in this area by making the Commission's procedure more transparent to all stakeholders. By analyzing the existing regulations, experiences and limitations in their implementation, and by reviewing the solutions from the best comparative practice, an attempt will be made to establish principles for making the missing guidelines. Based on the experiences of the most advanced practices in this field, it turns out that the partnership of Commission and academic community is a vital link in this process.
