Sažetak
Posebnost ugovora o franšizngu, kao i činjenica da ih uglavnom diktiraju davaoci franšize koji žele da minimalizuju svoju eventualnu odgovornost, čine da su ovi ugovori interesantni sa aspekta odgovornosti ugovornih strana, jer pored uobičajnih postoje i neke specifične odgovornosti. Iz pojačane obaveze davaoca franšize da u predugovornoj fazi drugu ugovornu stranu informiše o budućem poslu, ustanovljena je predugovorna odgovornost davaoca franšize, ako u toku trajanja ugovora korisnik otkrije da informacije koje su ga navele na zaključenje ugovora nisu bile tačne ili nisu bile potpune. Jedna od specifičnih odgovornosti davaoca franšize u okviru predugovorne faze je odgovornost za poslovni uspjeh korisnika franšize, jer davalac franšize u predugovornim informacijama često predočava potencijalnom korisniku previše optimističnu prognozu prihoda kako bi ga podstakao da se priključi mreži. Još jedno sporno pitanje vezano je za opseg i granice odgovornosti davaoca franšize povodom štete koju je korisnik franšize nanio trećim licima. Konfuziju naročito stvara okolnost da je odnos nezavisnosti davaoca i korisnika franšize prikriven sistemom standardizacije i unifikacije, što spolja stvara utisak jednog entiteta. Iako je sudska praksa kolebljiva kada je u pitanju odgovornost davaoca za neizvršenje ugovornih obaveza korisnika franšize prema trećim licima, nazire se tendencija pojačane odgovornosti davaoca franšize. Argumenti za ovu odgovornost zasnivaju se na kontroli koju davalac ima nad poslovanjem korisnika, ali i utisku koji je prisutan u javnosti da se radi o jednom entitetu.
Abstract
The specificity of the franchise agreements, as well as the fact that they are mainly dictated by franchisees who want to minimize their possible liability, make these contracts interesting from the aspect of the liability of the contract parties, because in addition to the usual, there are some specific liability. Given the fact that at the preaccession stage, the franchisor is obliged to inform the user of all data whose disclosure has the most decisive influence on the determination of the potential beneficiary to conclude the contract, the pre-contractual liability has been established. One of the specific liabilities of the franchisor within the pre-contractual phase is the liability of the franchise business success of the franchisee, as the franchisor in the pre-contractual information often presents to the potential user a very optimistic forecast of success in order to persuade the frinchisee to join the network. The specificity of the franchise agreement is also related to the non-contractual liability of the franchisor. Arguments for this liability are based on the control that the provider has over the business of the user, but also the impression that is present in the public that this is one entity.
