Struktura organa u evropskim formama društava
Structure of the European company and European private company
Univerzitet u Beogradu, Pravni fakultet
Abstract
This paper deals with the structure of the European Company and European Private Company. They consist of obligatory shareholders meeting and alternatively one-tier or two-tier management system. Although this alternative was a compromise between different national legal systems, it could not prevent many of the practical problems of this method. These problems are specifically underlined by simultaneous application of involvement of employees in company's structure, which can be a result of the negotiation process between relevant parties, and not necessarily in the context of applicable law rules on this issue. Therefore the application of national law, especially to the European Company, results in legal uncertainty and affects a number of European Companies established so far.
