Abstract
This article overviews the practice of commercial courts in application of the Law on companies, with focus on questions of declaration of nullity of articles of incorporation, the nullity of decisions of company's assembly, and the exclusion of the member of the limited liability company. Reviewing the practice of commercial courts, in the first line the Commercial court of appeal, and presenting how certain provisions of the Law on companies is tackled by commercial courts, it pays attention to the fact that the limited number of decisions of commercial courts in this matter is the cosequence of emphasized role of public administration in the process of registration of companies, lack of adequate control mechanisms, as well as the availability of courts of justice to wider circle of companies to initiate disputes resolution.
